Terms and Conditions

Effective Date: 28 January 2025

Welcome to Conscious 11 Ltd. By purchasing our goods or services, or by participating in our training or coaching programs, you agree to the following Terms and Conditions.

1. Definitions

1.1 Agreement – These Terms and Conditions, including any specifications or descriptions of goods and services supplied.

1.2 Customer – Any individual or organisation purchasing goods or services from the Company.

1.3 Company – Conscious 11 Ltd, the provider of coaching, training, and related services.

1.4 Delegate – A person representing the Customer or benefiting from the services provided.

1.5 Intellectual Property Rights – Includes all copyrights, patents, trademarks, and know-how.

1.6 Goods – Items purchased by the Customer.

1.7 Services – Coaching, training, and other deliverables as specified.

1.8 Specification – The details or description of the goods or services being purchased.

2. General Provisions

2.1 These Terms apply to all agreements for goods and services provided by the Company.

2.2 Services may be delivered online, on Customer premises, or at third-party venues.

2.3 Goods and services may be delivered using third-party providers.

2.4 Customers are prohibited from using the Company’s Intellectual Property without prior written consent.

3. Training and Coaching Programs

3.1 Bookings – Provisional bookings can be made via email or phone. Final confirmation requires full payment.

3.2 Delegate Capacity – Subject to venue or program capacity.

3.3 Prerequisites – Required preparatory work must be completed seven (7) days before the program starts.

3.4 Changes to Specification – The Company reserves the right to modify course content without notice.

3.5 Venue Changes – The Company may alter the venue or switch to online delivery due to unforeseen circumstances.

3.6 Rescheduling – Courses may be rescheduled due to low attendance, staff illness, or unforeseen events. Customers will be notified.

4. Bespoke Training and Coaching

4.1 Customised programs are available upon request.

4.2 The Company and Customer will agree on a Specification outlining the scope of the bespoke program.

4.3 Setup costs are non-refundable.

4.4 Payment terms for bespoke programs will be agreed upon in writing.

5. On-Site Training

5.1 Training at Customer premises is available by arrangement.

5.2 Additional charges may apply if training exceeds agreed hours or scope.

5.3 Customers must provide suitable facilities.

5.4 The Company is not liable for loss, damage, or injury at the Customer’s premises unless caused by the Company’s negligence.

6. Payment Terms

6.1 Delegate Course Payments – Full payment must be received at least 90 days before the course starts.

6.2 Payment Plans – Available at the Company’s discretion. Non-adherence may result in cancellation.

6.3 Discounted Goods or Services – Full payment required upon confirmation.

6.4 Bespoke Courses – Invoices will be issued for development work and prior to course delivery.

6.5 Other Services – Invoices will be issued by the end of the month in which the services were delivered.

6.6 Payment Methods – Bank transfer, cheque, credit/debit card, or PayPal (GBP only).

6.7 Late Payments – Interest of 2.0% per month above the Bank of England base rate applies. Persistent late payments may result in cancellation.

7. Cancellation, Transfer, and Refund Policy

7.1 Customer Cancellations

Deposits are non-refundable. A 14-day cooling-off period applies unless pre-course materials have been accessed. Beyond the cooling-off period, refunds are at the Company’s discretion.

7.2 Transfers to Alternative Courses

Requests must be made at least 90 days before the original course date. Transfers within 90 days may forfeit special pricing.

7.3 Company Cancellations

Customers will receive a full refund (excluding pre-course materials) or may transfer to another equivalent course.

7.4 Non-Attendance – No refunds for non-attendance.

7.5 Inappropriate Behaviour – No refunds if a delegate is excluded from a course.

8. Delivery of Goods

8.1 Goods will be dispatched upon receipt of payment.

8.2 The Company is not liable for delays or damages caused during transit.

8.3 Customers must report defects within seven (7) days of receipt.

9. Warranty and Limitation of Liability

9.1 Goods will be in good order upon dispatch.

9.2 The Company is not liable for indirect or consequential losses.

9.3 The Company’s liability is limited to the total fees paid for the Goods or Services in question.

10. Intellectual Property

10.1 All course materials remain the property of the Company.

10.2 Customers may not copy, reproduce, or share materials without written consent.

11. Times of Business

11.1 Office hours:

9:00 AM – 5:30 PM, Monday to Friday (excluding public holidays)

11.2 Training and coaching sessions may be conducted outside these hours as agreed.

12. Governing Law

12.1 These Terms are governed by the laws of England and Wales.

12.2 Any disputes will be resolved under the exclusive jurisdiction of English and Welsh courts.

13. Affiliate Program

13.1 The Affiliate Program allows approved affiliates to refer clients to Conscious 11 courses.

13.2 Referrals must be new clients not in the Company’s database.

13.3 Commissions are paid for the first successful payment of a referred client.

13.4 No payments are made for:

Referrals older than one year. Retrospective claims or clients already in the database. Additional purchases beyond the first course or service.
